Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Hailant Technologies Inc. ("Hailant," "we," "us," or "our"), a corporation incorporated under the laws of Alberta, Canada. By accessing or using Hailant's services, website, or software, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. About Hailant and Our Services
Hailant is an official reseller and implementation partner of Anthropic PBC, the developer of the Claude AI platform. Our services include:
- Licensing and reselling access to Anthropic's Claude AI models and APIs
- Implementation, configuration, and integration of AI-powered workflows
- System unification — connecting your existing business tools through AI-driven interfaces
- Ongoing support, training, and optimization for AI-enabled business operations
- Consulting and advisory services related to AI adoption for Canadian SMBs
By subscribing to our services, you also agree to comply with Anthropic's Usage Policy, available at anthropic.com/legal/usage-policy. Hailant's right to provide Claude-powered services is contingent on our reseller agreement with Anthropic, and Hailant reserves the right to modify or discontinue access if required by Anthropic.
3. Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under applicable Canadian law to use our services. Our services are intended primarily for businesses operating in Canada.
4. Account Registration and Security
Certain services require you to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security and confidentiality of your credentials
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
Hailant reserves the right to suspend or terminate accounts that violate these Terms or Anthropic's Usage Policy.
5. Acceptable Use
You agree to use Hailant's services only for lawful business purposes. You must not use our services to:
- Generate, distribute, or promote content that is illegal, harmful, defamatory, or fraudulent
- Violate any applicable federal, provincial, or local laws or regulations
- Infringe on the intellectual property rights of any third party
- Circumvent, disable, or interfere with security features of the platform
- Attempt to reverse-engineer, scrape, or extract the underlying AI models
- Use the AI to engage in deceptive practices, misinformation campaigns, or harassment
- Process data in violation of applicable privacy laws, including PIPEDA and applicable provincial privacy legislation
Hailant reserves the right to investigate and take appropriate action, including suspension of service, for any violation of these provisions.
6. AI-Generated Content and Limitations
Our services utilize Claude, a large language model developed by Anthropic. You acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, or inappropriate for certain contexts
- You are solely responsible for reviewing, validating, and applying any AI-generated content before relying on it for business decisions
- Hailant does not guarantee the accuracy, reliability, or fitness for purpose of any AI-generated output
- AI outputs do not constitute legal, financial, medical, or professional advice
- You retain full responsibility for how AI outputs are used within your organization
7. Fees, Billing, and Payment
Service fees are set out in your applicable service agreement, subscription plan, or statement of work. Unless otherwise agreed in writing:
- All fees are quoted and charged in Canadian dollars (CAD)
- Subscription fees are billed in advance on a monthly or annual basis
- Overage charges (if applicable) are billed in arrears
- All amounts are exclusive of applicable taxes, including GST/HST
- Invoices are due within 30 days of the invoice date
- Late payments may be subject to interest at a rate of 1.5% per month (18% per annum)
Hailant reserves the right to suspend service for accounts with outstanding balances exceeding 30 days past due.
8. Data, Privacy, and Canadian Residency
Hailant is committed to protecting your data in accordance with Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial legislation.
- We will not sell your data to third parties
- Data shared with Anthropic for AI processing is subject to Anthropic's Privacy Policy
- Where possible, Hailant will implement data residency controls to keep Canadian business data within Canada
- You are responsible for ensuring you have the legal right to share any data you provide to us or process through our services

9. Intellectual Property
Your data: You retain all ownership rights to data, content, and materials you provide to Hailant. You grant Hailant a limited, non-exclusive license to use your data solely to provide the services.
Our platform: All software, documentation, methodologies, and materials developed by Hailant remain the exclusive property of Hailant Technologies Inc. Nothing in these Terms transfers ownership of Hailant's intellectual property to you.
AI outputs: Subject to Anthropic's terms and applicable law, outputs generated through our services for your use are owned by you, provided they were generated in compliance with these Terms.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAILANT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HAILANT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, HAILANT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO HAILANT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL HAILANT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold harmless Hailant, its officers, directors, employees, and partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your breach of applicable law.
14. Term and Termination
These Terms remain in effect for the duration of your use of Hailant's services. Either party may terminate the agreement with 30 days' written notice, unless otherwise specified in a signed service agreement. Hailant may terminate immediately for material breach, non-payment, or violation of Anthropic's Usage Policy.
Upon termination, you will lose access to the services and any associated data after a 30-day wind-down period, during which you may export your data upon request.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Calgary, Alberta, in accordance with the Arbitration Act (Alberta), unless both parties agree otherwise in writing.
16. Changes to These Terms
Hailant may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of the services after the effective date constitutes acceptance of the revised Terms.
17. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force. These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Hailant with respect to the subject matter herein.
